Terms of Use

The rules and responsibilities that apply when you access or use Nexus.

1. Agreement to these Terms

These Terms of Use ("Terms") are an agreement between you and LTA Group ("Nexus", "we", "us", or "our"). They govern your access to and use of the Nexus website, application, integrations, and related services.

By creating an account, purchasing access, or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Nexus.

2. Eligibility and accounts

  • You must be legally able to enter into a contract where you live and must provide accurate account information.
  • Keep your login credentials secure and notify us if you believe your account has been accessed without permission.
  • You are responsible for activity under your account and for ensuring that anyone you authorize follows these Terms.
  • We may suspend or limit access when reasonably necessary to protect the service, users, or third parties, or to investigate suspected misuse.

3. Subscriptions, billing, and cancellation

Some features require a paid subscription. Prices, billing intervals, taxes, and available features are shown at checkout. Stripe processes payments and may apply its own terms and privacy policy. By subscribing, you authorize the applicable recurring charges and taxes until you cancel or the subscription ends.

You can manage payment methods and cancel through Stripe's customer portal when available. Cancellation generally takes effect at the end of the current paid period unless the checkout terms or applicable law provide otherwise. Except where required by law or expressly stated at checkout, payments are non-refundable.

4. Acceptable use

You may not use Nexus to:

  • break the law or violate a third-party platform's rules;
  • access another person's account, data, credentials, or connected mailbox without authorization;
  • upload content that is unlawful, infringing, deceptive, harmful, or contains sensitive information you are not authorized to share;
  • interfere with the service, bypass security, probe or scrape systems, or introduce malicious code;
  • use automated listing, syncing, or messaging features in a way that violates eBay, StockX, email-provider, or other applicable limits; or
  • resell, sublicense, or commercially exploit access to the service unless we expressly authorize it in writing.

5. Integrations and third-party services

Nexus can connect to services such as eBay, StockX, email providers, Discord, and Stripe. When you connect an integration, you authorize Nexus to access and act on the information needed for the feature you request. You are responsible for maintaining the required permissions and complying with the connected service's terms, policies, and fees.

Third-party services can change, restrict, suspend, or discontinue their APIs or accounts. We do not control those services and cannot guarantee that an integration will always be available, accurate, or error-free. Review listings, prices, inventory, messages, orders, and other actions before relying on them.

6. Your content and feedback

You retain your rights in the inventory records, images, receipts, listings, and other content you submit ("User Content"). You grant us a limited, non-exclusive license to host, reproduce, process, modify as technically necessary, and transmit User Content only to operate, secure, support, and improve the service and the integrations you request.

You represent that you have the rights and permissions needed to submit User Content and authorize the requested processing. If you send suggestions or feedback, you allow us to use them without restriction or compensation, while keeping any underlying rights you may have in the feedback.

7. Financial and business-tool disclaimer

Nexus provides organization, calculation, automation, and reporting tools. It does not provide tax, accounting, legal, investment, marketplace, or other professional advice. Calculations, fee estimates, sales-tax figures, inventory counts, profit reports, listing data, and imported orders may be incomplete, delayed, or inaccurate. Verify information independently before making a business or financial decision.

8. Ownership and intellectual property

The service, software, design, text, branding, and related materials are owned by or licensed to LTA Group and are protected by applicable intellectual-property laws. These Terms give you a limited, revocable, non-transferable right to use the service for your internal business purposes while your account is permitted to access it. No other rights are granted.

9. Availability, changes, and termination

We may update, change, suspend, or discontinue parts of the service, including integrations and features, at any time. We aim to keep the service available, but do not promise uninterrupted or error-free operation. You may stop using the service at any time. We may suspend or terminate access for breach of these Terms, nonpayment, security concerns, legal requirements, or operational reasons.

When access ends, your right to use the service stops. Our Privacy Policy and provisions that by their nature should continue, including ownership, disclaimers, limitations, indemnity, and dispute terms, will survive as applicable.

10. Disclaimers and limitation of liability

To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability. We do not warrant that the service will meet your requirements, be secure or uninterrupted, or prevent every loss or error.

To the fullest extent permitted by law, LTA Group and its owners, officers, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the service. Subject to applicable law, our total liability for claims relating to the service will not exceed the amount you paid us for the service during the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless LTA Group and its owners, officers, employees, contractors, and providers from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your User Content, your use of the service, your violation of these Terms, or your violation of another person's rights or a third-party platform's rules.

12. Governing law and disputes

These Terms are governed by applicable law without regard to conflict-of-law principles. Any dispute must be brought in a court with proper jurisdiction, unless you and LTA Group agree to another process or mandatory law provides a different forum or remedy. Nothing in these Terms limits rights that cannot lawfully be waived.

13. Changes and contact

We may update these Terms by posting a revised version here and changing the date above. If a change materially affects your rights, we may provide additional notice when appropriate. Continued use of Nexus after an update means you accept the revised Terms.
